1. Introduction

Number Shack ("Company" or "we") provides telecommunication and communication services ("Services") to customers ("you" or "Customer"), including telephony and communication features. These Terms of Service ("Terms" or "Agreement") govern your use of our Services via NumberShack.com. By accessing our website, making a purchase, opening an account, or contacting customer service (via email, live chat, fax, phone, or text), you agree to these Terms and any future modifications, which are binding upon continued use. If you do not agree, please do not use our Services. We may update these Terms, with major changes notified via email at least 30 days in advance or posted on our website.

2. Application

  • These Terms apply to all Customers using Number Shack’s Services.
  • Services are available only to individuals or entities over 19 years of age (or the legal majority in your jurisdiction) with the legal capacity to enter a binding agreement.
  • By using our Services, you confirm your eligibility. Any breach of this requirement is your sole responsibility, and Number Shack will not be liable.
  • Services are currently available only in Canada and the USA; new accounts outside these regions are not offered.

3. Restrictions

  • You must not spread false or misleading information about Number Shack (e.g., fabricated service claims).
  • All content, logos, and technology details on NumberShack.com are our intellectual property. Use requires written agreement, except for permitted marketing use with prior consent.
  • You agree not to initiate claims or actions that harm Number Shack related to our Services or Products.

4. Privacy and Data Use

  • We do not sell your personal or corporate information to third parties, except as needed to provide, support, or secure the Services, or as permitted by law.
  • Your data may be hosted by us or authorized third-party providers. We do not encrypt transmissions or sensitive data in our database but retain the right to disclose information pursuant to a court order, law, or government request.
  • We will notify you within 72 hours of a data breach affecting your information, per applicable laws.

5. Terms of Service

  • Account Security: Secure your login and password with strong, unique credentials and enable two-factor authentication. Lost credentials are your responsibility.
  • Lawful Use: Use Services only for lawful purposes.
  • No Warranties: We provide no warranties, express or implied, including merchantability or fitness for a particular purpose.
  • Payments: Payments first clear negative balances. Accounts with negative balances may be suspended with 30 days’ written notice.
  • Service Discontinuation: We may temporarily or permanently discontinue Services without notice, issuing refunds for unused balances if this occurs.
  • Rates: Quotes are valid only on the issue date; verify accuracy daily.
  • Portal Modifications: Scripts altering the customer portal beyond cosmetic changes (e.g., Grease monkey scripts) are prohibited and may lead to account deletion or legal action.
  • Account Responsibility: You are liable for all account usage and balance management.
  • Porting Fees: A port-away fee may apply at our discretion (pass-through from carriers).

6. Porting and Ownership

  • Phone numbers are parked as landlines with VOIP providers and available for purchase, subject to release by our parking provider. Refunds are issued if unavailable; we are not liable for consequential damages.
  • No service plan or SIM card is included.
  • Port your number within 30 days of purchase; failure results in forfeiture. A 7-day grace period applies to activate call parking/forwarding post-expiration. Delays beyond 10 days may occur; contact support.
  • Confirm carrier compatibility before purchasing. Instructions for porting will be emailed post-purchase.
  • Leaving a number parked or forwarded incurs monthly fees; port out anytime with no hidden fees or contracts. Stop payment forfeits the number unless ported.
  • Post-port, terminate parking/forwarding to stop charges; fees apply until termination.

7. Fees for Porting

  • Port resubmission after rejection/cancellation: $35.
  • Port cancellation post-submission: $75.
  • Expedited port (if available): $475.
  • Internal transfer (Telnyx): $8 + $3 carrier fee (Numberbarn).

  • Request refunds within 30 days at refund.numbershack.com. Proof of port cancellation is required if initiated. Completed ports require payment of the original cost.
  • Subsequent purchases (beyond the first) are final due to personalization.
  • Discounted order refunds: Refund = Original Price - (Discount Proportion × Returned Item Price).

9. Lowest Price Guarantee

  • Eligibility:
    • Comparable number advertised lower by a major competitor.
    • Publicly accessible online ad.
    • Similar memorability and value.
  • Exclusions: Temporary promotions, unavailable stock, or non-comparable quality.
  • Claim Process: Submit a screenshot, link, and competitor name within 24 hours. Verification within 48 hours; approved claims receive a price match or credit.
  • Limits: One number per customer per day; not applicable to renewals or promotions.

10. Number Warehousing/Hoarding

  • We do not warehouse or hoard numbers per FCC definitions.
  • Activation fees cover operational and carrier costs, are non-refundable, and do not constitute a purchase price.
  • Availability is not guaranteed; liability is limited to the cost paid for unavailable numbers.
  • Canceled or suspended numbers may be re-listed at our discretion.

11. Credit Card Charge-Back

  • Charge-backs after the 30-day guarantee void the refund. Contact support first to resolve issues.
  • Charge-back and legal costs may apply if pursued.

12. Customer Loyalty Program

  • Registration: Free; open to those 19+ with an account at rewards.numbershack.ca.
  • Earning Points: $5 = 1 Point (excludes taxes/gift card payments); non-transferable, non-cashable.
  • Redemption: Minimum 50 points; $10 = 100 points via your portal.
  • Cancellation: Notify support to cancel; dormant accounts (inactive 12 months) deleted with 30-day notice.
  • 13. Limitation of Liability

    • Our liability is limited to the license fee paid, except in cases of gross negligence or willful misconduct.
    • We are not liable for special, indirect, or consequential damages, per applicable law.

    14. Indemnification

    • You shall indemnify Number Shack against liabilities, losses, and expenses (including legal fees) from your negligence, willful misconduct, or breach of these Terms.

    15. Dispute Resolution

    • Disputes are governed by Ontario, Canada law, with exclusive jurisdiction in Sarnia courts.
    • We encourage mediation before legal action.

    16. General Provisions

    • These Terms are the entire agreement, superseding prior agreements. Invalid provisions will be limited to maintain enforceability.
    • You may not assign these Terms without our written consent; we may assign with notice.
    • Section titles are for convenience only.
    • The U.N. Convention for the Sale of violations does not apply.

    17. Acknowledgment

    By using NumberShack.com or our Services, you confirm you have read, understood, and agreed to these Terms and any updates. Continued use binds you to modifications.
